Terms of Service

Welcome to Heatmap Housing. This Terms of Service Agreement ("Agreement" or "Terms") is a legally binding contract between you ("User," "you," or "your") and Heatmap Housing LLC, a Missouri limited liability company ("Heatmap Housing," "Company," "we," "us," or "our").

By accessing or using the Heatmap Housing website, application, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Heatmap Housing in any manner, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited by law from using the Service
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate, current, and complete

If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

This license does NOT include the right to:

  • Sublicense, sell, resell, or transfer the Service or any data obtained from it
  • Modify, adapt, translate, or create derivative works based on the Service
  • Reverse engineer, disassemble, decompile, or attempt to derive source code
  • Access the Service to build a competitive product or service
  • Use the Service for any purpose other than its intended use
  • Remove, alter, or obscure any proprietary notices

We reserve all rights not expressly granted in these Terms. We may revoke this license at any time for any reason, including violation of these Terms.

3. Description of Service

Heatmap Housing provides real estate market data analysis tools designed to help users research potential real estate investment opportunities. The Service includes:

  • ZIP code-level market data, heatmaps, and cash flow calculations
  • Property-level data with individual property markers and detail views (for eligible tiers)
  • Deal Analyzer for property-level underwriting and financial analysis
  • Pipeline and Plans system for tracking investment deals
  • Advanced filtering, search, and data visualization capabilities
  • Data export functionality (for eligible subscription tiers, when available)
  • Saved workspaces and filter presets

The Service is a research and analysis tool only. It is NOT a substitute for professional real estate advice, financial planning, tax advice, or legal counsel.

4. User Accounts

To access certain features, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information remains accurate and up-to-date

Account Sharing Prohibition: Your account is for your individual use only. You may NOT:

  • Share your login credentials with any other person
  • Allow multiple individuals to access the Service through your account
  • Create multiple accounts to circumvent subscription limits
  • Transfer your account to another person without our written consent

We monitor for signs of account sharing (simultaneous logins from different locations, unusual usage patterns). Violation of this policy may result in immediate account termination without refund.

5. Subscription and Billing

5.1 Subscription Tiers

Heatmap Housing offers multiple subscription tiers, including a Free tier and paid plans with additional features. See the Pricing page for current plans, rates, and feature details.

Features and pricing are subject to change. We will provide 30 days notice before any price increase affects your next billing cycle.

5.2 Free Tier Terms

The Free tier provides limited access to Heatmap Housing features. Free tier users acknowledge that:

  • Access is limited to a subset of metrics and features
  • The experience is advertisement-supported
  • We may modify, limit, or discontinue the Free tier at any time
  • There is no guarantee of continued free access
  • We may convert Free accounts to paid-only with 30 days notice

5.3 Automatic Renewal

All paid subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date. By subscribing, you authorize us to charge your payment method on file for the applicable subscription fee.

5.4 Payment and Billing

You must provide a valid payment method to subscribe to paid tiers. You agree that:

  • All payment information provided is accurate and you are authorized to use that payment method
  • We may update your payment information if provided by your payment processor
  • If payment fails, we will attempt to charge your payment method for up to 7 days
  • After 7 days of failed payment, your subscription will be suspended
  • After 30 days of non-payment, your subscription will be canceled

5.5 No Refund Policy

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. When you cancel your subscription:

  • You will retain access to the Service until the end of your current billing period
  • No refunds will be issued for partial months or unused time
  • No refunds will be issued for annual subscriptions, regardless of when canceled
  • Downgrading to a lower tier takes effect at the next billing cycle; no prorated refunds

The only exception is if we permanently discontinue the Service with less than 30 days notice, in which case you may be entitled to a prorated refund of prepaid fees.

5.6 Chargebacks and Disputes

If you dispute a charge with your payment provider (chargeback):

  • Your account will be immediately suspended pending resolution
  • You must contact us directly at billing@heatmaphousing.com to resolve disputes
  • If the chargeback is determined to be fraudulent, your account will be permanently banned
  • You will be liable for any chargeback fees we incur (typically $15-25 per occurrence)

6. Investment Information Disclaimer

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.

6.1 Not Investment Advice

Heatmap Housing is a data analysis and research tool. We are NOT:

  • A registered investment advisor under federal or state securities laws
  • A licensed real estate broker, agent, or salesperson
  • A financial planner, accountant, or tax professional
  • A legal advisor or attorney

No fiduciary relationship is created between you and Heatmap Housing by your use of the Service. We do not provide personalized investment recommendations.

6.2 Data Accuracy Limitations

The data displayed in Heatmap Housing is derived from third-party sources including government databases, public records, and market aggregators. We make no representations or warranties regarding:

  • The accuracy, completeness, or timeliness of any data
  • The reliability of third-party data sources
  • The suitability of any market or property for your investment goals
  • The actual financial performance of any investment you may make

Data may be delayed, incomplete, or contain errors. Always verify information independently before making any investment decision.

6.3 Calculation Limitations

Our investment calculators use standardized assumptions that may not reflect your actual situation. Factors including but not limited to:

  • Interest rates and loan terms you qualify for
  • Property taxes and insurance rates in your specific location
  • Actual vacancy rates and property management costs
  • Maintenance, repairs, and capital expenditure requirements
  • Local landlord-tenant laws and regulations
  • Your personal tax situation

...may differ materially from our estimates.

6.4 Forward-Looking Projections

Any projections, forecasts, or estimates of future property values, rental income, appreciation rates, or investment returns are based on historical data and statistical models. These are NOT guarantees of future performance. Real estate markets are inherently unpredictable, and actual results may differ materially from projections.

6.5 Your Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

  • Conducting your own due diligence on any property or market
  • Independently verifying all data before making investment decisions
  • Consulting with qualified professionals (real estate agents, attorneys, CPAs, financial advisors)
  • Understanding the risks inherent in real estate investing
  • Making your own investment decisions based on your personal circumstances

6.6 No Liability for Investment Losses

UNDER NO CIRCUMSTANCES SHALL HEATMAP HOUSING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INVESTMENT LOSSES, MISSED OPPORTUNITIES, FINANCIAL DAMAGES, OR OTHER LOSSES RESULTING FROM YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY DATA OBTAINED THROUGH THE SERVICE.

7. Intellectual Property and Data Rights

7.1 Our Proprietary Rights

The Service and all content, features, and functionality are owned by Heatmap Housing LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our proprietary rights include, but are not limited to:

  • The compilation, selection, arrangement, and presentation of data
  • Our algorithms, scoring systems, and analytical methodologies (trade secrets)
  • The visual design, user interface, and user experience of the Service
  • All trademarks, service marks, logos, and trade dress
  • All software, code, and technical implementations

7.2 Database Rights

Even though some underlying data may be derived from public sources, our compilation, organization, analysis, and presentation of that data constitutes a protected database under applicable law. You may NOT:

  • Copy, reproduce, or extract substantial portions of our database
  • Create derivative databases using data obtained from the Service
  • Systematically download or store data for use outside the Service
  • Use data to create products or services that compete with Heatmap Housing

7.3 DMCA Compliance

We respect intellectual property rights and expect users to do the same. If you believe content on the Service infringes your copyright, please send a DMCA takedown notice to:

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

8.1 Data Extraction and Scraping

  • Using bots, spiders, crawlers, scrapers, or any automated data collection tools
  • Systematically downloading, copying, or extracting data from the Service
  • Using data mining, harvesting, or extraction software or tools
  • Creating derivative databases or data products using our data
  • Accessing the Service through any automated means without our express written permission

8.2 Technical Interference

  • Attempting to circumvent rate limiting, access controls, or other technical measures
  • Interfering with or disrupting the Service or servers
  • Reverse engineering, decompiling, or disassembling any part of the Service
  • Attempting to gain unauthorized access to any systems or networks
  • Introducing viruses, malware, or other harmful code

8.3 Commercial Misuse

  • Reselling, sublicensing, or redistributing access to the Service
  • Using the Service to build a competing product or service
  • Sharing account credentials or allowing unauthorized access
  • Using the Service on behalf of a third party without authorization

8.4 Enforcement

Violation of this Acceptable Use Policy will result in:

  • First Violation: Written warning and possible 7-day account suspension
  • Second Violation: Permanent account termination without refund
  • Scraping/Data Theft: Immediate termination, IP blocking, and potential legal action

We reserve the right to seek injunctive relief and monetary damages for violations, including recovery of attorney's fees and costs.

8.5 Marketing and Solicitation Restrictions

If you access property owner information (such as owner names, mailing addresses, or contact details) through the Service, the following restrictions apply:

  • No Unsolicited Commercial Email: You may NOT use data obtained from the Service to send unsolicited commercial emails, spam, or automated electronic messages of any kind
  • Lawful Marketing Only: Any use of property data for direct mail, marketing, or solicitation purposes must be for lawful purposes only and in compliance with all applicable federal, state, and local laws
  • Jurisdiction Compliance: Some states and jurisdictions prohibit or restrict the use of public records or property information for marketing or solicitation purposes. You are solely responsible for knowing and complying with these restrictions in any jurisdiction where you conduct marketing activities
  • Do-Not-Call Compliance: If you use any phone numbers obtained through the Service, you must comply with the Telephone Consumer Protection Act (TCPA), state do-not-call laws, and all other applicable telecommunications regulations
  • No Harassment: You may not use data from the Service to harass, stalk, threaten, or otherwise engage in abusive contact with property owners

Your Responsibility: We do not monitor or control how you use property owner information after you access it. You assume full responsibility and liability for your marketing activities and any violations of applicable law. We strongly recommend consulting with a legal professional familiar with real estate marketing regulations before conducting marketing campaigns.

Violation of these marketing restrictions constitutes a material breach of these Terms and may result in immediate account termination and potential legal action.

9. Export Restrictions

For subscription tiers that include data export functionality:

  • Exported data is for your personal and internal business use only
  • You may share exports with colleagues, partners, or professional advisors
  • You may NOT resell, sublicense, or redistribute exported data
  • You may NOT use exported data to create competing products or services
  • You may NOT republish exported data as a data feed, API, or database
  • You may NOT remove or alter any attribution or proprietary notices

Violation of these export restrictions constitutes a material breach of these Terms and may result in immediate termination and legal action.

10. User Content and License Grant

You retain ownership of content you create using the Service, such as saved workspaces, filters, and preferences ("User Content").

By using the Service, you grant Heatmap Housing a non-exclusive, royalty-free, worldwide license to:

  • Use anonymized and aggregated usage patterns to improve the Service
  • Analyze filter combinations, search patterns, and feature usage
  • Create derivative analytics from aggregated user behavior (never individual user data)
  • Use this data for product development, research, and marketing purposes

We will NOT sell or share your individual preferences or User Content with third parties. This license survives termination of your account for data already collected.

11. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

11.1 Disclaimer of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEATMAP HOUSING LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
  • INVESTMENT LOSSES OR FINANCIAL DAMAGES FROM REAL ESTATE TRANSACTIONS
  • SERVICE INTERRUPTIONS, ERRORS, VIRUSES, OR DATA INACCURACIES
  • ACTIONS OR OMISSIONS OF THIRD PARTIES (INCLUDING SELLERS, AGENTS, LENDERS)
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

11.2 Aggregate Liability Cap

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF:

  • (a) The total amount you paid to Heatmap Housing in the 12 months immediately preceding the claim; OR
  • (b) Five Hundred Dollars ($500.00)

11.3 Real Estate Transaction Disclaimer

REGARDLESS OF THE VALUE OF ANY REAL ESTATE TRANSACTION YOU ENTER INTO BASED ON DATA FROM THE SERVICE, OUR MAXIMUM LIABILITY IS CAPPED AT THE AMOUNTS STATED ABOVE. If you purchase a property and experience a financial loss of any amount, our liability does not exceed the limits set forth in Section 11.2.

11.4 Basis of the Bargain

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. These limitations are a fundamental part of the bargain between you and Heatmap Housing and shall apply even if any limited remedy fails of its essential purpose.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • THAT DEFECTS WILL BE CORRECTED
  • THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM HEATMAP HOUSING OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Indemnification

You agree to indemnify, defend, and hold harmless Heatmap Housing LLC, its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any and all claims, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or related to:

  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights (including intellectual property rights)
  • Your use of the Service in a negligent, unlawful, or unauthorized manner
  • Any real estate transaction or investment you enter into based on the Service
  • Your sharing of account credentials or unauthorized access
  • Any content you submit, post, or transmit through the Service

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims. This indemnification obligation survives termination of your account and these Terms.

14. Dispute Resolution and Arbitration

IMPORTANT: THIS SECTION AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL. PLEASE READ CAREFULLY.

14.1 Informal Resolution First

Before initiating any legal proceeding, you agree to first contact us at legal@heatmaphousing.com to attempt to resolve the dispute informally. We will respond within 15 business days. Most disputes can be resolved without formal proceedings.

14.2 Binding Arbitration

If we cannot resolve the dispute informally within 30 days, you agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Location: Arbitration shall take place in Missouri, or online via AAA's procedures
  • Arbitrator: One neutral arbitrator selected in accordance with AAA rules
  • Costs: Each party pays their own legal fees; arbitration fees split equally
  • Decision: The arbitrator's decision is final and binding
  • Enforcement: Judgment may be entered in any court of competent jurisdiction

14.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS ONLY. You waive any right to:

  • Participate in a class action lawsuit against Heatmap Housing
  • Participate in class-wide arbitration
  • Consolidate your arbitration with other users' arbitrations
  • Have disputes heard by a jury

14.4 Exceptions to Arbitration

The following disputes are NOT subject to arbitration and may be brought in court:

  • Claims in small claims court (under $10,000)
  • Injunctions to protect intellectual property rights
  • Emergency relief to prevent irreparable harm

14.5 30-Day Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@heatmaphousing.com within 30 days of creating your account. The notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you retain the right to pursue claims in court.

15. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes:

  • Adding, changing, or removing features
  • Changing data sources or update frequencies
  • Modifying subscription tiers or feature access
  • Discontinuing the Service entirely (with 30 days notice when practicable)

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. Feature changes do not entitle you to a refund.

16. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, illegal, or abusive activity
  • Non-payment of subscription fees
  • Suspected account sharing or unauthorized access
  • At our sole discretion for any other reason

You may terminate your account at any time from your account settings or by contacting support@heatmaphousing.com. Upon termination:

  • Your right to access the Service ceases immediately
  • We may delete your User Content after 30 days
  • Provisions that should survive termination will remain in effect (see Section 18.6)

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods.

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Missouri. You waive any objection to such jurisdiction or venue.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Heatmap Housing regarding the Service and supersede all prior agreements, understandings, and communications.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Assignment

We may assign or transfer these Terms and our rights hereunder, in whole or in part, without restriction (including in connection with a merger, acquisition, or sale of assets). You may not assign or transfer these Terms or your account without our prior written consent.

18.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it later. Any waiver must be in writing and signed by us.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, government actions, internet or telecommunications failures, power outages, or third-party service provider failures.

18.6 Survival

The following sections shall survive termination of these Terms: Intellectual Property, Limitation of Liability, Disclaimer of Warranties, Indemnification, Dispute Resolution, Governing Law, and this Miscellaneous section.

18.7 No Agency

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Heatmap Housing.

18.8 Electronic Communications

By using the Service, you consent to receive communications from us electronically, including email and in-app notifications. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

18.9 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

19. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email or through the Service at least 30 days before changes take effect
  • Provide a summary of material changes

Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
